Terms of Service

1. Who provides the service

The service is provided by NeexisRender S.L., with Tax ID (CIF) B75924027 and registered office at Calle Nueva 2, 2A, 20001 Donostia/San Sebastián, Gipuzkoa, Spain.

2. Service description

Neexis Render is a browser-based SaaS platform that lets product designers upload 3D geometry (CAD models or other compatible formats), apply materials, lighting and prompts, and obtain rendered images via artificial-intelligence models.

The service runs entirely in the cloud, requires no local installation and does not provide "offline binaries". Access is via studio.neexisrender.com and via this public landing.

Some features may be experimental or in beta. We reserve the right to modify, suspend or remove features, giving reasonable notice when the change is substantial.

3. Registration and account

To use the service you must:

• Be 18 years or older, or 14–17 with verifiable parental or guardian consent.
• Provide truthful information and keep it up to date (name, email, billing details if applicable).
• Keep your password and any access credentials confidential.
• Take responsibility for all activity carried out from your account.

Please notify us immediately of any unauthorized access or suspected compromise of your account. Neexis Render may suspend or terminate accounts that fail to meet these requirements.

4. Plans, credits and payments

Free and paid plans

We offer a Free plan with basic functionality and a limited monthly credit allowance, and one or more paid plans with higher capacity and additional features. Current details are published on the pricing page.

Payment processing

Payments are processed via Stripe. By subscribing you agree to Stripe's terms in relation to the charge. Neexis Render does not store your full card details.

Billing and cycle

Subscriptions are billed in advance at the start of each cycle (monthly or yearly). Access to paid features is maintained throughout the billed cycle, unless cancelled.

Automatic renewal

Unless you cancel before the end of the current cycle, your subscription renews automatically at the then-current price. You can cancel at any time from your account; cancellation takes effect at the end of the current cycle.

Refunds and right of withdrawal

EU-resident consumers have a 14-day right of withdrawal under European law. However, by starting to use the digital service and consuming generation credits, you acknowledge that the service runs immediately and that the right of withdrawal may not apply to credits already consumed. For specific cases (billing errors, major service failures), contact us.

Taxes

Prices may include or exclude VAT depending on jurisdiction and customer type (consumer or business). Applicable taxes are calculated and itemized on the issued invoice.

5. Acceptable use

You agree not to use the service to:

• Generate or distribute content that is illegal, defamatory, infringes third-party rights, is sexually explicit involving minors, or promotes violence, hate or discrimination.
• Impersonate natural or legal persons, or falsely claim authorship of a work.
• Upload geometry, images or materials for which you do not hold sufficient rights (third-party models under incompatible licenses, registered trademarks without authorization, etc.).
• Reverse-engineer, mass-scrape, run aggressive automation, or use the service outside its reasonable purpose.
• Circumvent technical limits (credits, rate-limits, free-plan watermarks).
• Distribute malware, attack the infrastructure or compromise the security of other users.

Breach may lead to immediate account suspension and, where applicable, corresponding legal action.

6. Content ownership and licenses

Your content remains yours

You retain ownership of all geometry, images and data you upload to Neexis Render. You also retain ownership of the renders generated from your uploads and prompts, to the extent that applicable law allows appropriation of AI-assisted works.

License you grant us

So we can process your files, you grant us a worldwide, non-exclusive, royalty-free license, limited in time to what is strictly necessary to: (a) store your content on our infrastructure, (b) process it through AI models in inference mode, (c) display it to you on the platform and (d) deliver it to you for download.

This license does not authorize us to use your content for marketing, AI model training, public publications or sale to third parties, except with express written permission.

No AI training on your content

As also stated in our Privacy Policy, Neexis Render does not use your content to train AI models, either our own or third-party, and our contracts with generative-model providers expressly prohibit it.

7. AI-generated outputs and limitations

Renders and other outputs generated by the platform are produced by AI models and, by their nature, may contain artifacts, geometric inaccuracies or deviations from the prompt. Neexis Render does not guarantee any specific result.

You are responsible for reviewing outputs before commercial use (catalogues, offers, customer communications, etc.) and for complying with regulations applicable to your sector.

8. Service availability

We make reasonable efforts to keep the service available 24/7, but we do not guarantee a specific uptime percentage unless agreed in writing in a specific contract. Outages may occur due to scheduled maintenance, third-party provider failures (GCP, Stripe, AI models), security incidents or force majeure.

We will communicate planned outages with reasonable notice via Studio itself or by email.

9. Suspension and termination

By you

You may cancel your subscription at any time from your account. You may delete your account following the procedure described in the Privacy Policy.

By us

We may suspend or terminate your access if: (a) you breach these Terms, (b) your use poses a security or legal risk, (c) payment is not completed despite reasonable reminders, or (d) we discontinue the service. Except in cases of serious breach, we will give reasonable notice and, where applicable, refund the proportional part of the unused period.

10. Warranties and limitation of liability

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim any implied warranties of merchantability, fitness for a particular purpose or non-infringement of third-party rights, beyond mandatory legal warranties.

In no event shall Neexis Render be liable for indirect damages, loss of profit, loss of data or third-party claims arising from use of the service, except in cases of willful misconduct, gross negligence or where such limitation is prohibited by law.

Neexis Render's aggregate liability to a user for any cause related to the service is limited, to the maximum extent permitted by law, to the amounts actually paid by the user in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to hold Neexis Render harmless against third-party claims arising from: (a) your breach of these Terms, (b) your unlawful use of the service, (c) the ownership or rights to the files you upload or the renders generated from them.

12. Modification of the Terms

We may modify these Terms to reflect legal changes, service improvements or pricing adjustments. We will notify substantial changes by email or via Studio with reasonable advance notice. If you continue using the service after the effective date, you are deemed to accept the new Terms. If you do not agree, you may cancel your account before the effective date.

13. Governing law and jurisdiction

These Terms are governed by Spanish law. Disputes that cannot be settled amicably shall be submitted to the courts of Donostia / San Sebastián (Gipuzkoa), unless consumer regulations grant another forum to an EU-resident user.
